Terms of Service

1. Acceptance of Terms

By accessing or using OpKart (“the Service”), operated by GATE Education UG (haftungsbeschränkt) (“we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

OpKart is an AI visibility SaaS platform designed to help Shopify merchants and e-commerce brands understand how their products are represented by AI assistants such as ChatGPT, Gemini, and Perplexity, and to optimise product content for improved AI discoverability. The Service includes product import, AI visibility analysis, content enrichment, custom prompt tracking, and related features.

3. Accounts

To use the Service, you must create an account. You agree to provide accurate and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent or abusive.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Infringe the intellectual property rights of any third party;
• Upload or transmit harmful, offensive, or unlawful content;
• Attempt to reverse-engineer, decompile, or extract the source code of the Service;
• Resell or sublicense access to the Service without prior written authorisation;
• Use the Service to send spam, engage in phishing, or conduct any form of fraud;
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure;
• Circumvent any access controls or usage limits imposed by us.

5. Subscriptions and Billing

Certain features of the Service are available only through a paid subscription. By subscribing, you authorise us to charge your payment method for the applicable fees on a recurring monthly basis. All fees are stated in Euros (EUR) and are exclusive of applicable taxes unless stated otherwise.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through the billing settings in your account. Cancellation takes effect at the end of the current billing period; no refunds are issued for unused portions of a subscription period.

We reserve the right to change our pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Intellectual Property

All rights, title, and interest in and to the Service — including software, design, trademarks, and content created by us — remain exclusively with GATE Education UG (haftungsbeschränkt). You are granted a limited, non-exclusive, non-transferable licence to use the Service for your own internal business purposes in accordance with these Terms.

You retain ownership of all product data, content, and materials you upload to the Service (“Your Content”). You grant us a limited, worldwide licence to process and display Your Content solely to provide the Service to you.

7. Third-Party Services

The Service integrates with third-party platforms including Shopify, Stripe, and AI providers such as OpenAI, Google, and Perplexity. Your use of those platforms is subject to their respective terms of service. We are not responsible for the availability, accuracy, or conduct of any third-party service.

8. Disclaimers

The Service is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the accuracy, reliability, completeness, or fitness for a particular purpose of the Service or any AI-generated content produced through it.

AI-generated content (including product descriptions, visibility scores, and recommendations) is provided for informational purposes only and should be reviewed by you before use. We do not guarantee any specific outcome or improvement in AI visibility or sales performance.

9. Limitation of Liability

To the maximum extent permitted by applicable law, GATE Education UG (haftungsbeschränkt) and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Service — even if we have been advised of the possibility of such damages. Our total aggregate liability to you in respect of all claims arising under these Terms shall not exceed the greater of €100 or the total fees paid by you to us in the three months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or engage in conduct we consider harmful to the Service or other users. You may terminate your account at any time by contacting us at arvi@opkart.co. Upon termination, your right to use the Service ceases immediately.

11. Modifications to Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. Material changes will be communicated via email or a prominent notice in the Service. Your continued use of the Service after the effective date of revised Terms constitutes acceptance.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. The place of jurisdiction for all disputes arising from or in connection with these Terms is Berlin, Germany, to the extent permitted by law.
